1. Introduction
These Terms of Service ("Terms") govern access to and use of Xooney.com (the "Platform"), a social commerce platform operating in Nigeria that connects buyers and sellers. Xooney.com is currently in the process of formal business registration in Nigeria; references to "Xooney," "we," "us," or "our" refer to the operators of the Platform. By creating an account or using the Platform, you ("User," "you") agree to be bound by these Terms.
2. Eligibility
You must be at least 18 years old to register for or use Xooney.com as a buyer or seller. By registering, you represent that you meet this age requirement and that all information you provide is accurate and complete.
3. Account Registration
To use the Platform, you must sign up by providing your name, age, date of birth, country, email address (Gmail or otherwise), and gender, or by signing up using a Google account. During registration, you will select whether you are registering as a Seller, a Buyer, or both. Your registration will be processed automatically based on this selection.
You may customize your username on the Platform free of charge.
4. Buyers and Sellers
New sellers may be linked with existing or new buyers, and new buyers may be linked with existing or new sellers, as part of the Platform's matching functionality.
Sellers may upload products through the "General Market" upload feature. Xooney provides tools to generate promotional captions for products, for use both on the Platform and on third-party social media platforms such as Facebook, Instagram, TikTok, Twitter/X, and Snapchat, and to measure social-selling performance through campaign tools that tag related marketing assets and content.
5. Product Listings, Tracking, and Ratings
- Each product listed on the Platform is assigned a unique product tracker code.
- Tracker codes allow buyers and sellers to track products from purchase until delivery.
- Products are rated by users. Products with a rating of 3.5 or above are eligible to appear on the General Market, where any user may purchase them.
- Products with ratings below 3.5 may be offered to a seller's own network for the purpose of building followers, but are not eligible for placement on the General Market.
- A seller's product listing remains active on the Platform until it is sold, at which point the applicable commission is collected.
6. Payments, Commission, and Fees
All payments for products, and all purchase-related transactions on the Platform, are processed through Paystack.com. Xooney does not directly handle or store payment card details.
Xooney charges a commission and transaction fee of 2.5% plus ₦150 on every product sold through the Platform.
Sellers whose products have been purchased will receive payment of the sale proceeds, less applicable commission and fees, within seven (7) days of the confirmed sale.
Delivery of products to buyers is expected to occur within seven (7) days of purchase, subject to seller and logistics performance.
7. Followers and Verification
Users may build followers on Xooney.com or invite followers from other social media platforms (such as Facebook, Instagram, TikTok, WhatsApp, and Snapchat) to grow their storefront audience.
Follower graphs, social media invites, product video views, and ratings are organic discovery and trust channels. Users and sellers are not paid cash rewards for inviting or building followers.
Seller verification is 100% free of charge. Sellers do not pay any upfront fee to complete verification or receive a verified trust badge on their storefront.
Verification of a seller's account requires the seller to provide digital address verification, including an on-site photograph with device GPS location services enabled, alongside automated identity checks (via Smile ID), to confirm the seller is authentic and trustworthy.
8. Referrals and Community Growth
Users may share referral links to invite buyers and sellers to the Platform. Referral sharing is an organic community growth tool and does not award cash referral bonuses.
9. Prohibited Conduct and Fraud Monitoring
Xooney monitors Platform activity, including product views, listings, and account behavior, to detect and prevent fraud. Users must not engage in fraudulent, deceptive, or manipulative conduct, including the use of fake followers, fake reviews, fake accounts, or fraudulent listings. Xooney reserves the right to suspend or terminate accounts found to be in violation of this section.
10. Currency, Language, and Location
The Platform provides currency conversion, language conversion, and location-based product listing features to support users across different regions.
11. Advertising
Xooney may offer paid advertising placements to sellers on the Platform, priced on a cost-per-click basis, to increase product visibility. Specific advertising formats, rates, and terms will be made available within the Platform.
12. Website Traffic Services
Xooney may offer website traffic generation and promotion services to sellers to drive targeted buyer discovery to their storefronts. Specific rates and terms will be made available within the Platform.
13. Intellectual Property
The Xooney name, logo, and Platform design are the property of Xooney.com. Users retain ownership of the product content, images, and descriptions they upload, but grant Xooney a license to display and promote such content on and in connection with the Platform.
14. Disclaimers
The Platform is provided on an "as is" and "as available" basis. Xooney facilitates connections between buyers and sellers but is not a party to the underlying sale of products and does not guarantee the quality, safety, legality, or accuracy of listings, except as expressly stated in these Terms.
15. Limitation of Liability
To the fullest extent permitted by Nigerian law, Xooney shall not be liable for indirect, incidental, or consequential damages arising from use of the Platform, including losses arising from disputes between buyers and sellers.
16. Suspension and Termination
Xooney reserves the right to suspend or terminate any account for violation of these Terms, fraudulent activity, or as otherwise required to protect the integrity of the Platform.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or relating to these Terms or use of the Platform shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
18. Changes to These Terms
Xooney may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
